Palace Online (“the app”) is a service provided by Palace Shopping Mall (“the Company”) subject to your compliance with the Terms and Conditions set forth below. These terms and conditions apply to the Site, and all of its divisions, subsidiaries, and affiliate operated Internet sites which reference these Terms and Conditions. Please read these Terms and Conditions before using this Web Site.

General
1. Palace Shopping Mall reserves the right, to change, modify, add, or remove portions of these Terms and Conditions of use at any time. Changes will be effective when posted on the Site with no other notice provided.

2. Please check these Terms and Conditions of use regularly for updates. Your continued use of the Site following the posting of changes to these Terms and Conditions of use constitutes your acceptance of the changes.

3. By shopping or browsing on this Site, you represent and warrant that you have read and understood these terms and conditions as well as the policies displayed on this Site; and agree to be bound by these terms and conditions as well as the policies (collectively “the Agreement”).

4. If you do not agree to these Terms and Conditions of use, you shall not use this website.

Site Availability
5. Palace Shopping Mall does not guarantee continuous or secure access to the site. The Site is provided "as is" and as and when available.

Product Pricing & Availability
6. The Products displayed on this Site are subject to availability, and are valid and effective only in store, in local country currency. The Company reserves the right, without prior notice, to discontinue or change pricing or specifications on Products and services offered on this Site without incurring any liability whatsoever.

7. The Company is determined to provide the most accurate pricing information on the Site to our users; however, errors may still occur, such as cases when the price of an item is not displayed correctly on the website. As such, the Company reserves the right to refuse or cancel any order. In the event that an item is mispriced, the Company may, at its own discretion, either contact you for instructions or cancel your order and notify you of such cancellation.

Order Acceptance
8. Please note that there are cases when an order cannot be processed for various reasons. The Site reserves the right to refuse or cancel any order for any reason at any given time without incurring any liability whatsoever. You may be asked to provide additional verifications or information, including but not limited to phone number and address, before your order is accepted.

9. The Company reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged.

Appearance and specifications of Products
10. The Company has made its best efforts to display the products as accurately as possible in terms of size, color and shape. As the actual colours, shape and size of the product you see will depend on your computer’s monitor; the Company cannot guarantee, however, that your monitor's display of any colour, shape and size will be accurate

11. Content provided on this site is solely for informational purposes. Product representations expressed on this Site are those of the producers of the products and are not made by the Company.

Use of the Site 12. You are solely responsible for maintaining the confidentiality and security of your account including username, password, and PIN. The Company is not responsible for any losses arising out of the unauthorized use of your account. You agree that the Company does not have any responsibility if you lose or share access to your device.

13. It is your responsibility to notify us of any unauthorized use of your password or account.

14. Any agreement between you and the issuer of your credit card, debit card, or other form of payment will continue to govern your use of such payment method on the Site. You agree that the Company is not a party to any such agreement, nor is responsible for the content, accuracy, or unavailability of any method used for payment.

15. You are either at least 18 years of age or are accessing the Site under the supervision of a parent or legal guardian.

16. The Company grants you a non-transferable and revocable license to use the Site, under the Terms and Conditions described, for the purpose of shopping for personal items sold on the Site.

17. Commercial use or use on behalf of any third party is prohibited, except as explicitly permitted by us in advance. Any breach of these Terms and Conditions shall result in the immediate revocation of the license granted in this paragraph without notice to you.

18. Certain services and related features that may be made available on the Site may require registration or subscription. Should you choose to register or subscribe for any such services or related features, you agree to provide accurate and current information about yourself, and to promptly update such information if there are any changes.

19. During the registration process you may agree to receive promotional emails from the Site. You can subsequently opt out of receiving such promotional e-mails by clicking on the link at the bottom of any promotional email.

20. Except as otherwise provided by law, at any time without notice to you, the Company change, restrict access to, suspend, or discontinue the Site or any portion of the Site, and charge, modify, or waive any fees required to use any services, functionality or other content available through the Site or any portion of the Site

21. The Company shall not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, your failure to comply with this section.

User Submissions
22. Anything that you submit to the Site and/or provide to us, including but not limited to, questions, reviews, comments, and suggestions (collectively, "Submissions") will become the sole property of Palace Shopping Mall and exclusive property and shall not be returned to you.

23. In addition to the rights applicable to any Submission, when you post comments or reviews to the Site, you also grant us the right to use the name that you submit, in connection with such review, comment, or other content.

24. You shall not use a false e-mail address, pretend to be someone other than yourself or otherwise mislead us or third parties as to the origin of any Submissions. The Company may, but shall not be obligated to, remove or edit any submissions.

Links to third party websites 25. Palace Online Store may contain links or references to other websites ('Third Party Websites'). Palace Shopping Mall shall not be responsible for the contents in Third Party Websites. Third Party Websites are not investigated or monitored. In the event the user decides to leave Palace Online Store and access Third Party Sites, the user does so at his/her own risk.

Privacy
26. Palace Shopping Mall may collect information from Users and Advertisers. It is a condition of use of Palace Online Store that each User and advertiser consents and authorizes Palace Shopping Mall to collect and use this information. Palace Online Store also reserves the right to disclose it to Company Affiliates and any other person for the purposes of administering, supporting and maintaining Palace Online Store, as well as for improving Palace Online Store, for example by using the information for research, marketing, product development and planning.

Trademarks and Copyrights
27. All intellectual property rights, including copyright, in all materials, including trademarks, logos, photographs, images, text and other graphics which form part of the Site are owned by the Company alternatively the Company is the lawful user thereof. Such rights are protected by both Ghanaian and international intellectual property laws. All data and information communicated to or from the Site and/or any Site information as well as the database is the sole property of the Company.

28. The Company grants you permission to view, electronically copy and print portions of the Site for the sole purpose of placing an order with the Company for any of the Products.

29. Any use of materials on the Site other than for the purpose noted in clause 28 above including, without limitation, the unauthorized submission, removal, modification, dissemination, copying or distribution of copyrighted or other proprietary content, without the prior written consent of the Company and/or the lawful trademark and/or copyright owner (if applicable), is prohibited and constitutes an unlawful infringement of the intellectual property rights of the Company and/or such trademark and/or copyright owner.

Dispute Resolution
30. Any disputes, controversies, or differences arising out of the implementation, interpretation, performance of these Terms and Conditions, shall be finally settled through arbitration by a single arbitrator to be appointed in accordance with the rules of Ghana Arbitration Center. The arbitrator shall be a person who is legally trained and who has experience in the information technology field and is independent of either party. The venue of the arbitration shall be Ghana. The language used in the arbitration proceedings shall be English. The award of the arbitrator shall be final and binding and may be entered in any court of competent jurisdiction and enforced in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798). Notwithstanding the foregoing, the Company reserves the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through competent courts.

Applicable Law and Jurisdiction
31. These Terms and Conditions shall be interpreted and governed by the laws in force in the Republic of Ghana. Each party hereby agrees to submit to the jurisdiction of the courts of Ghana and to waive any objections based upon venue.

Termination
32. In addition to any other legal or equitable remedies, the Company may, without prior notice to you, immediately terminate the Terms and Conditions or revoke any or all of your rights granted under the Terms and Conditions.

33. Your account may be restricted or terminated for any reason, at our sole discretion.

34. Upon any termination of this Agreement, you shall immediately cease all access to and use of the Site and the Company shall, in addition to any other legal or equitable remedies, immediately revoke all password(s) and account identification issued to you and deny your access to and use of this Site in whole or in part.

35. Any termination of this agreement shall not affect the respective rights and obligations (including without limitation, payment obligations) of the parties arising before the date of termination. You furthermore agree that the Site shall not be liable to you or to any other person as a result of any such suspension or termination.

36. If you are dissatisfied with the Site or with any terms, conditions, rules, policies, guidelines, or practices of Palace Shopping Mall in operating the Site, your sole and exclusive remedy is to discontinue using the Site.
